The Law and Economics of Aftermarkets

THE LAW AND ECONOMICS OF AFTERMARKETS
This one-hour course will introduce participants to the basic concepts of aftermarkets, and survey both the state of the law and some open legal questions surrounding survival as an aftermarket player in the modern economy.

Aftermarket businesses rest their success on top of someone else’s platform. Until fairly recently, most such businesses clustered in the customization or repair sectors, but software platforms and embedded chips have spread aftermarkets throughout the economy. Today, iPhone apps, Facebook games, universal remote controllers, replacement toner cartridges, and their like all define aftermarkets. From an economic perspective, aftermarket businesses are at the mercy of their platform providers. While some platform providers may prove sympathetic to the needs of their aftermarkets, others may be indifferent, or even antagonistic. What’s worse, platform providers may shift from one posture to another with little advanced notice. The laws governing relationships among platform providers, aftermarket players, and their shared customers are complex, drawing (at a bare minimum) from patent, copyright, antitrust, and contract law. This one-hour course will introduce participants to the basic concepts of aftermarkets, and survey both the state of the law and some open legal questions surrounding survival as an aftermarket player in the modern economy.
SPEAKER: Bruce D. Abramson, an expert in the law and economics of technology who holds a Ph.D. in Computer Science from Columbia and a J.D. from Georgetown, has spent the past twenty-five years helping his clients recognize the value latent in their innovations and intangible assets. His work combines expertise in valuation, strategy, technology assessment, and competitive analysis with experience in patents, copyrights, trade secrets, standards, competitive effects and licenses.

Learn the science behind first impressions. First impressions include verbal and non verbal communication (body language), as well as your dress. Throughout the past decade, dress appropriateness has become a large gray area. When do you wear a suit? When do you wear something a little less formal? We’ll discuss general dress guidelines for both men and women across various industries. You will leave this fun, stimulating session with a greater understanding of the importance of your image and tips to improve your first impressions.

Jenna Ghosheh, founder of Status Image Consulting, is from the San Francisco Bay Area. She attended Cornell University’s world renowned Hotel School and entered a career of hotel operations. She managed large properties such as 3,000 room hotels in Vegas, and turned around smaller distressed properties. Jenna has written several dress code and employee handbooks as well as service manuals. During her hotel operations career, she noticed that all of the appropriate dress advice with staff and friends was making a huge difference in their personal and professional lives. This sparked an interest to further her education in textiles and design, and she launched Status Image Consulting soon thereafter. Jenna now works with individuals and corporations on the art of the first impression and looking your absolute best.

About the Author

Harvard v. Dartmouth Football Game

There’s a cool chill in the air. The College hums with activity. This can only mean one thing: football season is here.
Harvard and Dartmouth will meet under the lights for the first time at Harvard Stadium at 3pm PST (6pm EST). The game had originally been scheduled for noon but was moved to 6pm after Dartmouth agreed to the switch, providing Ivy football fans with another option to see a night game at the historic Harvard Stadium.
Harvard and Dartmouth have squared off 15 times in televised contests, dating back to 1955. The last time the two schools battled with the cameras rolling at Harvard Stadium came in the 2003 season when Dartmouth knocked off the Crimson, 30-16. This year the result will be different!
Harvard is 3-1 thus far, and 2-0 in the Ivy League.

Please join us for HCSV's second annual volunteer series with the Boys & Girls Clubs of the Peninsula! Saturday, Oct. 22 (10 a.m .to 1 p.m.): Each volunteer will work with one or two 5th or 8th graders (age-level to be determined by your preference) on either writing personal statements for private school applications or writing and polishing a speech for the upcoming Eighth Grade Youth of the Year scholarship competion. Youth of the Year is a Boys & Girls Club initiative that offers youth an opportunity to share their personal stories while developing writing, public-speaking, and interviewing skills. All participants are outstanding role models for all members of the Boys & Girls Clubs and our communities. Saturday, Oct. 29 (10 a.m. to 1 p.m.): Each volunteer will work with one or two 5th or 8th graders on either writing personal statements for private school applications or practicing delivery of Youth of the Year speeches; we will also help students practice interviewing in preparation for both interviewing at private schools and with Youth of the Year judges. Saturday, Dec. 10 (11 .a.m to 1 p.m.): Each volunteer will work with one 5th or 8th graders to finalize their private school applications while BGCP staff work with the students' parents to complete financial aid applications.

Dr. John Adler MD is a renowned neurosurgeon, inventor, and entrepreneur. He was appointed Chief of New Clinical Applications and Vice President of Varian Medical Systems Inc. in April 2010. He plays a key role in guiding the development of Varian’s next generation clinical products. Dr. Adler founded Accuray in 1990 and helped develop the CyberKnife® Stereotactic Radiosurgery System. Dr. Adler also serves as Professor of Neurosurgery and Radiation Oncology at Stanford University Medical Center. Prior to joining Stanford, Dr. Adler did a neurosurgical residency at the Brigham & Women's, Children's and Massachusetts General Hospitals in Boston. Dr. Adler holds an AB degree in Biochemistry from Harvard College (1976) and an MD from Harvard University (1980).
Dr. Catherine Mohr MD, MSME is an entrepreneur and an expert in developing robotic surgical devices. She is the Director of Medical Research at Intuitive Surgical, a high technology surgical robotics company that makes the “da Vinci” surgical robot. In addition, she is a Consulting Assistant Professor in the Department of Surgery at Stanford School of Medicine where she works with the Goodman Simulation Center in the development of simulation based curricula for teaching clinical skills. Dr. Mohr received her BS and MS in mechanical engineering from MIT and has been involved with numerous startup companies in the areas of alternative energy transportation, computer aided design software, and medical devices. Dr. Mohr graduated from Stanford University School of Medicine. She serves as a scientific advisor for several startup companies in Silicon Valley.

Kick back with an entertaining and educational lecture by OCSC founder and president, Anthony Sandberg, on "Secrets of the San Francisco Bay", where answers to some of the following will be revealed:

The Harvard Club of Silicon Valley and the Alumni Association of the Harvard School of Public Health will host a talk by Michael vanRooyen and Jennifer Leaning from the Harvard Humanitarian Initiative and the Francois-Xavier Bagnoud Center for Health and Human Rights.
Poverty, oppression, wars, and disasters constitute major threats to the welfare and well-being of millions of people throughout the world. The mechanisms for this combined assault on vulnerable populations are complex and changing rapidly. In the face of the mounting need, assessment and response capacities are proving increasingly inadequate--as the wars in Congo and Darfur, the 2010 disasters in Haiti and Pakistan, the unfolding crisis in Sudan, and the intractable tragedy of maternal and child mortality demonstrate all too clearly.
Harvard University is well underway in building the scholarly apparatus for analyzing and addressing these complex assaults on the human community. Along with other efforts at Harvard, the Harvard Humanitarian Initiative and the FXB Center for Health and Human Rights are creating the knowledge base for anticipatory response and effective intervention. Michael VanRooyen and Jennifer Leaning will describe how these two centers of engagement are preparing the next generation of practitioners and academics to take the lead in understanding and improving conditions for people trapped in worldwide cycles of crisis and deprivation.

Julia Love is the Employee Engagement Manager, Corporate Social Responsibility at Adobe. Formerly, she was the Associate Director of The Volunteer Center Serving San Francisco and San Mateo Counties. In addition to oversight of The Volunteer Center’s Consulting and Training Practice and Volunteer Services, Julia led the Bay Area Corporate Volunteer Council. In this capacity, she regularly consulted with leading corporations on the strategic development of their employee involvement programs. In 2006, Julia led a field-wide effort to standardize the language and means of measuring corporate volunteer programs.
Prior to joining The Volunteer Center in 2001, Julia served as the Program Director for The Management Center. Can personalized medicine fulfill its promise?

Ten years have passed since the first human genome was sequenced and the era of personalized molecular medicine was ushered in with great fanfare. The principal promise was and is simple: the right drug for the right patient at the right dose. Another equally compelling benefit is more efficient drug development. To date, this promise remains largely unrealized. This panel discussion will examine why and how personalized medicine can realize its promise.
CONFIRMED SPEAKERS:
George Church, PhD, Professor of Genetics at Harvard Medical School, and Professor of Health Sciences and Technology, Harvard and MIT George Church is a pioneer in the field of genomics. With Walter Gilbert he developed the first direct genomic sequencing method in 1984 and helped initiate the Human Genome Project in 1984 while he was a Research Scientist at newly-formed Biogen Inc. He invented the broadly-applied concepts of molecular multiplexing and tags, homologous recombination methods, and DNA array synthesizers. Technology transfer of automated sequencing & software to Genome Therapeutics Corp. resulted in the first commercial genome sequence, (the human pathogen, Helicobacter pylori) in 1994. He initiated the Personal Genome Project (PGP) in 2005 and research on synthetic biology. He is director of the U.S. Department of Energy Center on Bioenergy at Harvard & MIT and director of the National Institutes of Health (NHGRI) Center of Excellence in Genomic Science at Harvard, MIT & Washington University. He has been advisor to 22 companies. He holds a BA in Zoology and Chemistry from Duke University and a PhD from Harvard in Biochemistry and Molecular Biology.
Alex de Winter, PhD, Partner at Mohr Davidow Ventures Alex de Winter has a background in bioscience and technology development. A Partner at Mohr Davidow Ventures, he evaluates investments in the areas of life sciences and personalized medicine. He joined Mohr Davidow in 2009 after working at two life science start-ups. Alex graduated magna cum laude from Amherst College, earned a PhD in Chemistry from Stanford University, and received an MBA with honors from UC Berkeley. Brandon Steele, VP of Commercial Operations, IncellDx Brandon Steele leads IncellDx's efforts to commercialize its products. Brandon has experience developing product lines covering the entire clinical process from initial drug discovery to disease diagnosis and therapuetic monitoring. IncellDx is a molecular diagnostics company that works on diseases such as HIV/AIDs, HPV/Cervical Cancer, hepatitis, organ transplant infections, breast cancer and ovarian cancer. Brandon holds a BS in Engineering from the United States Military Academy at West Point. Liz Lison, Advocea LLC
Liz is an independent regulatory affairs and compliance consultant based in California. She has over 20 years experience in the IVD industry, most recently working with early stage companies on cutting-edge diagnostics with companies who include the Laboratory Developed Tests as part of their business model. She is experienced in developing early stage regulatory strategy and quality system implementation for startup companies allowing them to build compliant operations and to shorten time to commercialization of their first product.
Prior to setting up her own consultancy company, she was VP of Regulatory Affairs at Aviir, Director of Regulatory Affairs at XDx, VP of Operations at Naxcor and VP of Customer Service Operations at PharmChem. She also held a number of sales and product management positions at Syva UK. Liz has a BS in Medical Science from Bradford University, UK.
Mara Aspinall, Chief Executive Officer, On-Q-ity, Inc.
Mara Aspinall is the Chief Executive Officer of On-Q-ity, an innovative personalized medicine company focused on transforming cancer lifecycle management through diagnostics. Before being recruited to On-Q-ity, Mara was previously president of Genzyme Genetics, a leading provider of testing in the oncology and reproductive markets.
An active participant in the healthcare policy community, Mara is a Director of the Personalized Medicine Coalition (PMC), a founding Director of the European Personalized Medicine organization (EPEMED), as well as an active member of the Federal Secretary of Health and Human Services’ Advisory Committee on Genetics, Health and Society. Mara currently holds an appointment as lecturer in health care policy at Harvard Medical School and is a Director of Blue Cross Blue Shield of Massachusetts. Mara co-authored, "Realizing the Promise of Personalized Medicine" in the Harvard Business Review and, most recently, was named one of the 2010 "100 Most Inspiring People in Life Sciences" by PharmaVOICE Magazine.

Girish Putcha, MD, PhD, Adjunct Faculty in Pathology at Stanford Medical School Girish is an adjunct faculty member in molecular pathology at Stanford Medical School. Previously, at Panorama Capital and RiverVest Venture Partners, he focused on the life sciences, helping lead new investments and managing existing portfolio companies. Prior to that, Girish served as medical director at Aviir, in clinical development at CardioDx, and as part of the founding team at VeraCyte, all venture-funded personalized medicine companies focused on different indications in cardiology and oncology.
Girish is a pathologist subspecializing in molecular diagnostics at the Stanford University School of Medicine, where he currently serves as adjunct faculty. He holds an M.D. and a Ph.D. in neuroscience from Washington University School of Medicine, an M.A. in Medical Law & Ethics and an M.Sc. in the History of Medicine from the University of London and the Wellcome Institute as a Marshall Scholar, and a B.A. in Health Policy, with a concentration in Biochemistry, from Rice University.

Different preparation methods, including the use of a gaiwan and gong fu style tea preparation will be demonstrated to show how to coax the best flavor from tea.

Every company is at risk of an expensive and embarrassing government enforcement action. For example, the Orange County District Attorney brought an action against Toyota for violating consumer protection laws, the first enforcement action concerning the company's safety problems. The specter of enforcement actions touches the legal, marketing, risk management and business planning roles. Featured Speaker Clayton S. Friedman will discuss the main issues that enforcement actions present and how companies can prepare for and defend against them.
Mr. Friedman is a partner at Manatt who focuses his practice in multistate regulatory work, e-commerce, consumer protection and antitrust, which includes representing clients before various federal agencies and departments such as the Federal Trade Commission, Federal Communications Commission, and in enforcement actions by state attorneys general. Mr. Friedman was an Assistant Attorney General in Missouri from 1983-93, last as Director of Multistate Consumer Litigation. As an Assistant Attorney General, Mr. Friedman was a recipient of the National Association of Attorneys General Marvin Award. Subsequently, he was Director and Chief Counsel of the National Association of Attorneys General Consumer Protection and Antitrust Division from 1993-94.

Join us for an evening presentation and panel discussion with nuclear energy entrepreneurs and investors commercializing the next generation of nuclear-generated electricity with small modular nuclear reactor (SMR) technology.
Eric Wesoff, Senior Analyst at Greentech Media Research will present findings from his forthcoming report “Small Modular Nuclear Reactors: The Economies of Small” and will moderate the discussion and Q&A with industry leaders.

-Dr. Paul Lorenzini – Co-Founder & CEO of NuScale Power, an Oregon-based startup aiming to commercialize “small” 45 megawatt multi-application nuclear reactors based on a light water reactor (LWR) concept developed out of a DOE-sponsored research collaboration. NuScale aims to replace economy of scale with “economy of replication,” offering combinable, modular reactors that are completely factory fabricated. -Michael Shepherd – VP Business Development – B&W Modular Nuclear Energy, LLC, The Babcock & Wilcox Company (B&W). B&W provides design, engineering, manufacturing, construction and facility management services to the nuclear, renewable and fossil power industries. B&W also makes the B&W mPowerTM, a scalable, modular 125–750 MWe reactor.
-Maurice Gunderson – Venture capitalist with CMEA Capital and Senior Partner in the firm’s Energy & Materials group where he specializes in thermodynamics and energy technologies. Maurice also sits on the board of NuScale Power. Prior to joining CMEA, Maurice co-founded Nth Power, one of the country’s first VC firms devoted to energy technology.
-Jeff Hamel – Senior Project Manager in the Advanced Nuclear Technology Program at the Electric Power Research Institute (EPRI). Jeff overseas research on deployment of advanced light water reactor (LWR) nuclear plants, development of the Next Generation Nuclear Plant (NGNP) GEN IV technology, and technical and commercial support for integrated spent fuel management strategy.

Our second annual sake tasting event returns to Jin Sho, featuring a guided tasting of six premium spring and summer sakes, each custom paired with a delectable seasonal dish prepared by chef-owner Kaneko, formerly of New York City’s famed Nobu restaurant.
Since its opening in December 2007, Jin Sho has received rave reviews for the exceptional quality of its fresh fish, along with its creative interpretations of classic Japanese dishes. We have reserved the entire restaurant for this event.
Miwa Wang, sake-sommelier from True Sake (560 Hayes St, San Francisco), America’s first sake store, will guide us through the mystery and myth surrounding this liberating libation with an introductory ‘Sake 101’ primer. Learn to discern the subtle flavor notes evoked by examples of various sake types and regions, and how they complement different foods. Sakes and books will also be available for purchase.

Young Alums (20s/30s) of all Ivy League colleges and grad schools are encouraged to join us for another blow out drinks night at the elegant University Club of San Francisco. Our last event drew almost 700 Ivy Leaguers, and this one will be even bigger!
Welcome to Stanford and MIT who are joining us once again!!
Based on enthusiastic feedback at the last event, we're once again holding the mixer at the spacious University Club! We will have an entire floor, dedicated staff, and a DJ, with drink specials for the night.
Food will also be available on-site!
To cover help cover the cost of the event, we are asking for a $10 dollar cover charge per person at the door. Please only bring cash or check so that we can avoid lines at the entrance!
